These Terms and Conditions constitute a legally binding agreement between you ("you" or "Customer") and Mattermind, LLC ("Company," "we," "us," "our"), a company registered in Colorado, United States, operating the PassportIQ platform at https://app.passportiq.app.
By accessing or using PassportIQ, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services. You must be at least 18 years old to use PassportIQ.
We may update these Terms from time to time. We will update the version number and effective date above when changes are made. Continued use of the Services after updates constitutes acceptance of the revised Terms.
PassportIQ is a Digital Battery Passport (DPP) management platform. We provide tools to register battery units; generate GS1 Digital Link QR codes and physical labels; track lifecycle events and state of health; produce EU Battery Regulation–compliant passport pages; manage tiered data access (public, restricted, and authority layers) corresponding to Annex XIII of EU Regulation 2023/1542; and connect to the EU Battery Passport Registry.
Our platform is designed to conform to the CEN/CENELEC harmonised standards for Digital Product Passports (EN 18216, EN 18219, EN 18220, EN 18221, EN 18222, and EN 18223, collectively the "DPP Standards"), and we will update the platform as additional standards (including EN 18239 and EN 18246, anticipated September 2026) are published.
Public passport pages hosted by PassportIQ are accessible to regulators, market surveillance authorities, notified bodies, recyclers, and end users as required by EU Battery Regulation 2023/1542. The scope of data served at each access tier is governed by Annex XIII of that Regulation and by these Terms (see Section 7 — Archive Mode).
The Services are intended for business use by manufacturers, importers, and economic operators who bear regulatory obligations under applicable battery legislation.
All intellectual property rights in the PassportIQ platform — including source code, software, designs, databases, trademarks, and content — are owned by or licensed to Mattermind, LLC. You may not copy, reproduce, distribute, or create derivative works from our platform without express written permission.
Your data is yours. Battery passport data, model specifications, lifecycle records, and identifiers that you create using PassportIQ remain your property. We claim no intellectual property rights over your data and use it solely to provide the Services.
To access the full Services, you must register an account with a valid organization name, email address, and password. You agree to provide accurate information and to keep it current.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at info@mattermindtech.com if you suspect any unauthorized use of your account.
Passwords must meet our minimum security requirements (currently 12 characters). We may suspend accounts with compromised credentials.
PassportIQ uses a two-part model: an annual platform subscription for ongoing access to the management dashboard and features, and Passport Credits that are consumed one-per-publish. Credits are included in your plan allowance and can also be purchased separately as one-time packs.
Platform subscriptions are billed annually in advance. Each year of an active subscription grants your organization a passport publishing allowance that is added to your cumulative quota. Allowances accumulate over consecutive subscription years — the longer you subscribe, the more passports you can publish in total. All plans include the compliance dashboard, EU Registry submission, passport QR codes, and GS1 Digital Link labels.
If you upgrade your plan mid-year (e.g., Starter → Growth), the difference in annual allowances is granted immediately as a one-time top-up to your quota. For example, upgrading from Starter (500/year) to Growth (2,000/year) grants an immediate 1,500-passport top-up, and subsequent renewals add the full 2,000 Growth allowance. Downgrades take effect at the next renewal; no quota is deducted for the current year.
Prices shown are in USD. Pricing is subject to change. We will provide at least 60 days' notice before any price increase takes effect for existing subscribers, and any increase will apply only at your next renewal.
Passport Credits may be purchased as one-time packs and used in two ways: (1) as overflow after your plan's included quota is exhausted, or (2) as a standalone option — accounts without an active platform subscription may purchase credit packs and publish passports without subscribing to a plan. Credits are consumed in order after your plan quota is fully used, are non-transferable between organizations, and never expire.
Credits are non-refundable once consumed against a published passport. Unused credits purchased in error are refundable within 30 days of purchase provided no passports have been published against them. Your remaining plan quota and credit balance are displayed in your account dashboard at all times.
You must either have remaining plan quota or at least one Passport Credit to publish a passport. Neither plan quota nor credits are required to create or edit Draft passports.
Platform subscriptions are billed annually in advance. Your first billing date is the date you subscribe to a paid plan. Annual renewals occur on the same date each year. We accept major credit and debit cards via Stripe and can issue invoices with Net-30 payment terms for annual contracts — contact us to arrange invoiced billing. Passport Credit packs are charged immediately at the time of purchase.
We offer multi-year platform subscription pricing (2-year and 3-year terms) with discounts of up to 15%. Multi-year contracts are invoiced annually; the per-year rate is reduced for the contract duration. Contact us to discuss multi-year pricing.
You may cancel your annual platform subscription at any time through the billing portal in your account settings or by contacting us. Cancellation takes effect at the end of your current annual term. No refunds are issued for unused months within a paid annual term. Upon cancellation, your account enters Archive Mode as described in Section 7. Unused Passport Credits are forfeited upon account termination.
Annual platform subscription fees are non-refundable except where required by applicable law, or at our sole discretion in cases of documented service outages exceeding 24 consecutive hours caused solely by PassportIQ infrastructure.
PassportIQ accounts are free to create. You may use your account to create and manage battery passports, generate QR codes and labels, track lifecycle events, and use the compliance dashboard. A platform subscription is required for advanced features (analytics, multi-site management, CSV import, API access), but you do not need a subscription to publish passports — Passport Credits can be purchased and used at any time regardless of subscription status.
If you only need to publish a small number of passports without a recurring subscription, you may purchase Passport Credit packs directly and publish passports using those credits. Your account retains access to basic passport management tools, and all published passports remain publicly accessible permanently. Advanced platform features require an active subscription.
A Draft passport is fully editable and stored in PassportIQ but is not publicly live. Draft QR codes resolve to a notice page indicating the passport has not yet been published, and drafts are not submitted to the EU Central DPP Registry. Draft status allows you to prepare, review, and test your passport data before committing to publication. Creating and editing Draft passports does not consume Passport Credits.
A Published passport is publicly live: its QR code resolves to the full Annex XIII passport page, and it is submitted to the EU Central DPP Registry on your behalf. Publishing a passport permanently consumes one unit of your plan quota or one Passport Credit if your quota is exhausted or if you have no active subscription (see Section 5).
At the end of the 14-day trial period, full platform access is restricted and you will be prompted to select a paid subscription. All Draft passports are preserved and can be published at any time using Passport Credits. Any unused trial credits expire at the end of the trial period, but credits purchased separately never expire.
Draft passports may be permanently deleted at any time before publication. Deleting a draft is irreversible and no credit is refunded.
Published passports cannot be deleted. EU Battery Regulation 2023/1542 and EN 18221 require that Annex XIII Section 1 data (manufacturer identity, chemistry, capacity, carbon footprint declaration, recycled content, hazardous substances, expected lifetime, and QR code) remains permanently accessible for the battery's full operational lifetime. PassportIQ will never delete published passport data, and users may not request deletion of published passport records.
When a battery reaches end-of-life, you may decommission the passport. Decommissioning marks the passport with an end-of-life notice visible to all viewers but does not remove any data. All Annex XIII data remains publicly accessible. The decommission action is irreversible. We recommend decommissioning rather than abandoning a subscription when batteries are retired, as it provides clear regulatory signal to recyclers and notified bodies who rely on the passport.
If you subscribe after having published passports as a credit-only account, all previously published passports are retained under your organization. Your cumulative quota begins accumulating from your first subscription year; passports published via credits prior to subscribing remain live permanently and are not counted against your subscription quota.
We reserve the right to modify or discontinue the free trial offer at any time without notice to future signups.
Regardless of your subscription status — including after cancellation, trial expiry, and Archive Mode — PassportIQ will permanently serve all Annex XIII Section 1 public data for every passport you have published. This includes: manufacturer identity, chemistry, capacity, carbon footprint declaration, recycled content percentages, hazardous substances declaration, expected lifetime, due diligence report URL, and the QR code. This obligation arises from EN 18221:2026 and EU Battery Regulation 2023/1542, which prohibit the removal of public passport data while the corresponding battery remains in service.
QR codes will always resolve and will always return Annex XIII Section 1 data. This is a permanent commitment by PassportIQ, unconditional on subscription or credit balance.
In Archive Mode (post-subscription, outside any grace period):
Upon entering Archive Mode, you receive a 30-day grace period during which all passport pages remain fully accessible — all compliance data, State of Health, and all Annex XIII tiers remain visible to appropriate viewers. Your account dashboard displays a countdown to the end of the grace period.
Customers who no longer need dashboard access but wish to preserve full passport data visibility for their supply chain partners — including recyclers, repairers, and notified bodies who rely on Section 2/4 data — may subscribe to the Archive Hosting add-on ($49/month). Archive Hosting:
Under EU Battery Regulation 2023/1542, the economic operator (manufacturer, importer, or authorized representative) bears legal responsibility for ensuring battery passport accessibility throughout the battery's operational lifetime. PassportIQ satisfies the Section 1 minimum as a permanent service. We strongly recommend maintaining either an active platform subscription or the Archive Hosting add-on for any batteries in active service where supply chain partners require access to Section 2/4 data.
You may resubscribe to a platform plan or the Archive Hosting add-on at any time. Full passport data and dashboard access are restored immediately upon subscription activation.
When the EU Central DPP Registry becomes operational (currently anticipated July 2026),
PassportIQ will automatically submit each registered passport to the registry on your
behalf, in accordance with EN 18222:2026. The registry stores a pointer (your passport's
unique identifier and the URL of the hosted data); PassportIQ hosts the full passport data
and provides the registry-facing API endpoint at
/dpp/v1/passport/{identifier}.
By using PassportIQ, you authorize us to submit your battery passport data to the EU Central DPP Registry on your behalf, using the identifier and hosted data URL associated with your account. You remain the responsible economic operator for the accuracy and completeness of submitted data.
EN 18219:2026 requires that each battery unit carry a globally unique, persistent item-level identifier. PassportIQ supports the following identifier paths:
Identifiers are permanent. Once assigned to a battery unit and submitted to the EU Registry, an identifier cannot be changed. You are responsible for ensuring that customer-supplied GIAIs are valid, correctly formatted, and associated with your GS1 company prefix.
PassportIQ exposes a standards-conformant DPP API at /dpp/v1/ implementing
the mandatory Lifecycle API operations defined in EN 18222:2026 (ReadDPPById,
ReadDPPByProductId, ReadDPPVersionByIdAndDate, ReadDPPIdsByProductIds, CreateDPP,
UpdateDPPById, DeleteDPPById). This API is available to all subscribers and is used by the
EU Central DPP Registry and authorized third-party integrators.
All payments are processed by Stripe (Stripe, Inc.), a third-party payment processor. By providing payment information, you agree to Stripe's Terms of Service and Privacy Policy. PassportIQ does not store your full payment card details.
We accept major credit and debit cards including Visa, Mastercard, and American Express. All prices are listed in US Dollars (USD). If a payment fails, we will attempt to notify you by email and your subscription may be placed into a "Past Due" status which restricts certain features.
You agree not to:
You retain ownership of all battery data, model specifications, serial numbers, lifecycle records, identifiers, and other content you submit to PassportIQ ("Customer Data").
You grant Mattermind, LLC a limited, non-exclusive license to store, process, display, and transmit Customer Data solely to provide the Services to you and to fulfill regulatory access obligations under EU Battery Regulation 2023/1542 and the DPP Standards — including submission to the EU Central DPP Registry and permanent serving of Annex XIII Section 1 public data as described in Section 7. This license survives termination of your subscription solely with respect to published passport data that must remain accessible under applicable law.
Annex XIII Section 1 passport data is retained permanently for all registered battery units, consistent with our obligations under EN 18221:2026 and EU Battery Regulation 2023/1542, which require that public passport data remain accessible for the operational lifetime of the battery. Battery lifetimes may exceed 15 years.
All other Customer Data (dashboard settings, user accounts, analytics, Annex XIII Section 2/4 data) is retained for the duration of your active subscription plus a minimum of 12 months after account closure, after which it may be deleted at our discretion unless you maintain an Archive Hosting subscription.
You may request a full export of your Customer Data at any time by contacting info@mattermindtech.com. Exports are provided in JSON format within 14 business days. This right exists independently of your subscription status.

PassportIQ takes its obligations under EN 18221:2026 seriously. In the event that Mattermind, LLC ceases operations, is acquired, or otherwise becomes unable to continue operating the PassportIQ platform, we commit to:
These continuity commitments are in addition to any rights you may have under applicable law.
We may suspend or terminate your account immediately, without prior notice, if you breach these Terms or if we reasonably believe your use poses a security risk or legal liability.
You may terminate your account at any time by canceling your subscription and contacting info@mattermindtech.com to request deletion. Termination does not remove public Annex XIII Section 1 passport pages, which remain permanently accessible as described in Section 7. Dashboard access, Annex XIII Section 2/4 data, and account-level features are deactivated upon termination.
We reserve the right to modify, update, or discontinue any part of the Services at any time. We will make reasonable efforts to provide advance notice of material changes. We do not guarantee uninterrupted or error-free operation of the Services, except as committed under Section 12 with respect to Annex XIII Section 1 data accessibility.
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL MEET YOUR SPECIFIC REGULATORY COMPLIANCE REQUIREMENTS OR THAT OUR PLATFORM WILL CONFER FULL CONFORMITY WITH EN 18216–18223 OR EU BATTERY REGULATION 2023/1542 IN ALL CIRCUMSTANCES. COMPLIANCE IS ULTIMATELY THE RESPONSIBILITY OF THE ECONOMIC OPERATOR.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MATTERMIND, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE MONTHS, OR (B) ONE HUNDRED US DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Mattermind, LLC from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of: (a) your use of the Services; (b) your violation of these Terms; (c) inaccurate or false battery data you submitted; (d) your use of a GS1 GIAI or other identifier you were not authorized to use; or (e) your violation of EU Battery Regulation 2023/1542 or other applicable law.
These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of law provisions.
Before filing any formal legal action, you agree to first contact us at info@mattermindtech.com and give us 30 days to resolve the dispute informally. If informal resolution fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association in Larimer County, Colorado.
By using PassportIQ, you consent to receiving electronic communications from us, including account notifications, billing receipts, EU Registry submission confirmations, and service announcements, to the email address associated with your account.
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Mattermind, LLC regarding the Services.
Severability. If any provision is found unenforceable, the remaining provisions continue in full force and effect.
Waiver. Our failure to enforce any provision does not constitute a waiver of that provision.
Assignment. You may not assign your rights under these Terms without our written consent. We may assign freely, including in connection with a merger, acquisition, or sale of assets.
